BINARY CODE LICENCE AGREEMENT

READ THE TERMS OF THIS AGREEMENT AND ANY PROVIDED SUPPLEMENTAL LICENCE
TERMS (COLLECTIVELY "AGREEMENT") CAREFULLY BEFORE USING THE
STMICROELECTRONICS SOFTWARE COMPONENTS SUPPLIED AS PART OF THE MEDIA
PACKAGE. BY USING THE STMICROELECTRONICS LICENCED COMPONENTS, YOU
AGREE TO THE TERMS OF THIS AGREEMENT. IF YOU DO NOT AGREE TO ALL OF
THESE TERMS; PROMPTLY RETURN THE UNUSED SOFTWARE TO YOUR PLACE OF
PURCHASE FOR A REFUND.

1. Licence to Use. STMicroelectronics, NV ("ST") grants to you a
non-exclusive and non- transferable non-sublicensable object-code
licence for your internal use only of the accompanying software and
documentation and any error corrections provided by ST
(collectively "Software"), to enable your application to operate
with certain ST products. Such licence shall be limited to a single
user for which the corresponding fee, if any, has been paid.

2. Restrictions. Software is confidential and copyrighted. Any
modification of the Software by you requires prior written approval
by ST. ST reserves all rights not expressly granted to you
hereunder, and your use of the Software for any other purpose is
expressly prohibited. Title to Software and all associated
intellectual property rights is retained by ST and/or its
licencors. You shall not without prior written permission by ST
publish documents referring to the Software or to results based on
the Software. Further, except as specifically authorized in any
supplemental licence terms, you may not make copies of Software,
other than a single copy of Software for archival
purposed. Redistribution, transfer and sublicensing of the Software
in whole or in part is strictly prohibited. Unless enforcement is
prohibited by applicable law, you may not modify, decompile,
disassemble, or otherwise reverse engineer Software, this includes
translation, adaptation, arrangement or other alteration of the
Software (including without limitation the copying, adapting or
reverse compiling of Software for the purpose of error
correction). Software is not designed or licenced for use in
on-line control of aircraft, air traffic, aircraft or navigation or
aircraft communications; or in the sign, construction, operation or
maintenance of any nuclear facility. Further, Software is not
designed nor is it authorized for use in life supporting devices or
systems. You warrant that you will not use the Software for these
purposes. You may not publish or provide the results of any
benchmark or comparison tests run on Software to any third party
without the prior written consent of ST. No right, title or
interest in or to any trademark, service mark, logo, or trade name
of ST or its licensors is granted under this Agreement.

3. References and Statements. You shall ensure that all Software
references, copyright statements and license conditions are not
altered or removed from the Software.

4. Limited Warranty. ST warrants to you that for a period of ninety
(90) days from the date of purchase, as evidenced by a copy of the
receipt, the media on which Software is furnished (if any) will be
free of defects in materials and workmanship under normal
use. Except for the foregoing, Software is provided "AS IS". Your
exclusive remedy and ST?s entire liability under this limited
warranty will be at ST?s option to replace the Software media or
refund the fee paid for the Software.

5. Disclaimer of Warranty. UNLESS SPECIFIED IN THIS AGREEMENT, ALL
EXPRESS OR IMPLIED CONDITIONS, REPRESENTATIONS AND WARRANTIES,
INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A
PARTICULAR PURPOSE, OR NON-INFRINGEMENT, ARE DISCLAIMED.

6. Limitation of Liability. IN NO EVENT WILL ST OR ITS LICENSORS BE
LIABLE FOR ANY LOST REVENUE, PROFIT OR DATA, OR FOR SPECIAL,
INDIRECT, CONSEQUENTIAL, INCIDENTAL OR PUNITIVE DAMAGES, HOWEVER
CAUSED AND REGARDLESS OF THE THEORY OF LIABILITY, ARISING OUT OF OR
RELATED TO THE USE OF OR INABILITY TO USE SOFTWARE, EVEN IF ST HAS
BEEN ADVISED OF THE POSSIBLITY OF SUCH DAMAGES. In no event will
ST?s liability to you, whether in contract, tort (including
negligence), or otherwise, exceed the amount paid by you for
Software under this Agreement. The foregoing limitations will apply
even if the above stated warranty fails of its essential purpose.

7. Confidentiality. You undertake to apply to all confidential
information at least the same degree of care with which you treat
and protect your own proprietary information against public
disclosure but no less than reasonable care. All such confidential
information shall not be disclosed to any third party without the
prior written consent of ST.

8. Intellectual property protection. You may not include this Software
in whole or in part in any patent or patent application in respect
of any use or application of the Software by you.

9. Termination. This Agreement is effective until terminated. You may
terminate this Agreement at any time by destroying all copies of
this Software. This Agreement will terminate automatically and
immediately, without notice from ST, if you fail to comply with any
provision of this Agreement. You agree to destroy, forthwith upon
termination, all copies of Software.

10. Compliance with Laws, Export Regulations. You agree to comply with
all applicable laws, regulations, decrees, ordinances and the
like, and shall hold ST free and harmless from, and indemnify ST
for any loss or damage, including legal costs, arising from their
infringement. In particular, all Software and technical data
delivered under this Agreement are subject to U.S. export control
laws and may be subject to export or import regulations in other
countries. You agree to comply strictly with all such laws and
regulations and acknowledge that you have the responsibility to
obtain such licences to export, re-export, or import as may be
required after delivery to you.

11. Governing Law. This Agreement shall be governed by and construed
and enforced in accordance with the laws of Switzerland without
regard to its rules on conflict of laws or any other rules that
would result in the application of a different body of law or to
the United Nations Convention on Contracts for the International
Sale of Goods. You hereby consent to the exclusive jurisdiction of
the courts of Geneva, Switzerland.

12. Severability. If any provision of this Agreement is held to be
unenforceable, this Agreement will remain in effect with the
provision omitted, unless omission of the provision would
frustrate the intent of the parties, in which case this Agreement
will immediately terminate.

13. Integration. This Agreement is the entire agreement between you
and ST relating to its subject matter. It supersedes all prior or
contemporaneous oral or written communications, proposals,
representations and warranties and prevails over any conflicting
or additional terms of any quote, order, acknowledgment, or other
communication between the parties relating to its subject matter
during the term of this Agreement. No modification of this
Agreement will be binding, unless in writing and signed by an
authorized representative of each party.
