BINARY CODE LICENCE AGREEMENT<br>

READ THE TERMS OF THIS AGREEMENT AND ANY PROVIDED SUPPLEMENTAL LICENCE<br>
TERMS (COLLECTIVELY "AGREEMENT") CAREFULLY BEFORE USING THE<br>
STMICROELECTRONICS SOFTWARE COMPONENTS SUPPLIED AS PART OF THE MEDIA<br>
PACKAGE. BY USING THE STMICROELECTRONICS LICENCED COMPONENTS, YOU<br>
AGREE TO THE TERMS OF THIS AGREEMENT. IF YOU DO NOT AGREE TO ALL OF<br>
THESE TERMS; PROMPTLY RETURN THE UNUSED SOFTWARE TO YOUR PLACE OF<br>
PURCHASE FOR A REFUND.<br>

1. Licence to Use. STMicroelectronics, NV ("ST") grants to you a<br>
   non-exclusive and non- transferable non-sublicensable object-code<br>
   licence for your internal use only of the accompanying software and<br>
   documentation and any error corrections provided by ST<br>
   (collectively "Software"), to enable your application to operate<br>
   with certain ST products. Such licence shall be limited to a single<br>
   user for which the corresponding fee, if any, has been paid.<br>

2. Restrictions. Software is confidential and copyrighted. Any<br>
   modification of the Software by you requires prior written approval<br>
   by ST. ST reserves all rights not expressly granted to you<br>
   hereunder, and your use of the Software for any other purpose is<br>
   expressly prohibited. Title to Software and all associated<br>
   intellectual property rights is retained by ST and/or its<br>
   licencors. You shall not without prior written permission by ST<br>
   publish documents referring to the Software or to results based on<br>
   the Software. Further, except as specifically authorized in any<br>
   supplemental licence terms, you may not make copies of Software,<br>
   other than a single copy of Software for archival<br>
   purposed. Redistribution, transfer and sublicensing of the Software<br>
   in whole or in part is strictly prohibited. Unless enforcement is<br>
   prohibited by applicable law, you may not modify, decompile,<br>
   disassemble, or otherwise reverse engineer Software, this includes<br>
   translation, adaptation, arrangement or other alteration of the<br>
   Software (including without limitation the copying, adapting or<br>
   reverse compiling of Software for the purpose of error<br>
   correction). Software is not designed or licenced for use in<br>
   on-line control of aircraft, air traffic, aircraft or navigation or<br>
   aircraft communications; or in the sign, construction, operation or<br>
   maintenance of any nuclear facility. Further, Software is not<br>
   designed nor is it authorized for use in life supporting devices or<br>
   systems. You warrant that you will not use the Software for these<br>
   purposes. You may not publish or provide the results of any<br>
   benchmark or comparison tests run on Software to any third party<br>
   without the prior written consent of ST. No right, title or<br>
   interest in or to any trademark, service mark, logo, or trade name<br>
   of ST or its licensors is granted under this Agreement.<br>

3. References and Statements. You shall ensure that all Software<br>
   references, copyright statements and license conditions are not<br>
   altered or removed from the Software.<br>

4. Limited Warranty. ST warrants to you that for a period of ninety<br>
   (90) days from the date of purchase, as evidenced by a copy of the<br>
   receipt, the media on which Software is furnished (if any) will be<br>
   free of defects in materials and workmanship under normal<br>
   use. Except for the foregoing, Software is provided "AS IS". Your<br>
   exclusive remedy and ST?s entire liability under this limited<br>
   warranty will be at ST?s option to replace the Software media or<br>
   refund the fee paid for the Software.<br>

5. Disclaimer of Warranty. UNLESS SPECIFIED IN THIS AGREEMENT, ALL<br>
   EXPRESS OR IMPLIED CONDITIONS, REPRESENTATIONS AND WARRANTIES,<br>
   INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A<br>
   PARTICULAR PURPOSE, OR NON-INFRINGEMENT, ARE DISCLAIMED.<br>

6. Limitation of Liability. IN NO EVENT WILL ST OR ITS LICENSORS BE<br>
   LIABLE FOR ANY LOST REVENUE, PROFIT OR DATA, OR FOR SPECIAL,<br>
   INDIRECT, CONSEQUENTIAL, INCIDENTAL OR PUNITIVE DAMAGES, HOWEVER<br>
   CAUSED AND REGARDLESS OF THE THEORY OF LIABILITY, ARISING OUT OF OR<br>
   RELATED TO THE USE OF OR INABILITY TO USE SOFTWARE, EVEN IF ST HAS<br>
   BEEN ADVISED OF THE POSSIBLITY OF SUCH DAMAGES. In no event will<br>
   ST?s liability to you, whether in contract, tort (including<br>
   negligence), or otherwise, exceed the amount paid by you for<br>
   Software under this Agreement. The foregoing limitations will apply<br>
   even if the above stated warranty fails of its essential purpose.<br>

7. Confidentiality. You undertake to apply to all confidential<br>
   information at least the same degree of care with which you treat<br>
   and protect your own proprietary information against public<br>
   disclosure but no less than reasonable care. All such confidential<br>
   information shall not be disclosed to any third party without the<br>
   prior written consent of ST.<br>

8. Intellectual property protection. You may not include this Software<br>
   in whole or in part in any patent or patent application in respect<br>
   of any use or application of the Software by you.<br>
<br>
9. Termination. This Agreement is effective until terminated. You may<br>
   terminate this Agreement at any time by destroying all copies of<br>
   this Software. This Agreement will terminate automatically and<br>
   immediately, without notice from ST, if you fail to comply with any<br>
   provision of this Agreement. You agree to destroy, forthwith upon<br>
   termination, all copies of Software.<br>

10. Compliance with Laws, Export Regulations. You agree to comply with<br>
    all applicable laws, regulations, decrees, ordinances and the<br>
    like, and shall hold ST free and harmless from, and indemnify ST<br>
    for any loss or damage, including legal costs, arising from their<br>
    infringement. In particular, all Software and technical data<br>
    delivered under this Agreement are subject to U.S. export control<br>
    laws and may be subject to export or import regulations in other<br>
    countries. You agree to comply strictly with all such laws and<br>
    regulations and acknowledge that you have the responsibility to<br>
    obtain such licences to export, re-export, or import as may be<br>
    required after delivery to you.<br>

11. Governing Law. This Agreement shall be governed by and construed<br>
    and enforced in accordance with the laws of Switzerland without<br>
    regard to its rules on conflict of laws or any other rules that<br>
    would result in the application of a different body of law or to<br>
    the United Nations Convention on Contracts for the International<br>
    Sale of Goods. You hereby consent to the exclusive jurisdiction of<br>
    the courts of Geneva, Switzerland.<br>

12. Severability. If any provision of this Agreement is held to be<br>
    unenforceable, this Agreement will remain in effect with the<br>
    provision omitted, unless omission of the provision would<br>
    frustrate the intent of the parties, in which case this Agreement<br>
    will immediately terminate.<br>
<br>
13. Integration. This Agreement is the entire agreement between you<br>
    and ST relating to its subject matter. It supersedes all prior or<br>
    contemporaneous oral or written communications, proposals,<br>
    representations and warranties and prevails over any conflicting<br>
    or additional terms of any quote, order, acknowledgment, or other<br>
    communication between the parties relating to its subject matter<br>
    during the term of this Agreement. No modification of this<br>
    Agreement will be binding, unless in writing and signed by an<br>
    authorized representative of each party.<br>
